Partner grants DFL Productions a non-exclusive worldwide license to reproduce, format, and display Partner’s logos and artwork solely for producing and selling approved merchandise products via dedicated e-commerce routes.
100% Brand Ownership Retention: Partner retains sole intellectual property ownership of all trademarks, logos, and original artwork.
2. $0 Upfront Build Fee & Base Server Retainer
DFL waives all upfront initial custom web application build fees ($10,000+ value). DFL provides continuous high-availability edge hosting, SSL certificates, admin telemetry, and server bandwidth for a predictable base retainer of $199 / month.
100% Brand Ownership Retention: Partner retains sole intellectual property ownership of all trademarks, logos, and original artwork.
3. Commercial Math & 50/50 Net Profit Formula
Net Distributable Margin is defined as Gross Retail Sales Revenue minus fixed Base Cost of Goods Sold (COGS) and the monthly base server retainer ($199/mo). Net Distributable Margin is split equally (50% to Partner, 50% to DFL).
Standard Unit Math Example (Heavyweight Tee):
$35.00 Retail Price − $14.50 Base COGS = $20.50 Net Margin
Partner Monthly Payout: 50% Net Margin (after $199/mo base retainer)
4. Payout Schedule & Monthly Ledger
Payouts are issued monthly on or before the 1st of every calendar month via Direct Deposit (ACH/EFT) or Wire Transfer, accompanied by an itemized sales transaction ledger.
5. Term & 30-Day Cancellation
This partnership is non-exclusive and may be terminated by either party at any time with 30 days written notice. Outstanding monthly payouts through the termination date shall be paid in full on the subsequent 1st of the month.
